You do if you want one that doesn't conform to the boundaries set by sticking to the standard explorer themes setup. StyleXP allows you to have some pretty wierd themes that would otherwise not be possible.

the file that manages the themes in winxp is uxtheme.dll

by default it is locked, but there is an unlocked versions floating around out there that allows you to use any theme you use, you need a app that would replace the protected dll w/the one that isn't protected; which is what I did

style xp doesn't unlock the dll, it instead patches a file over it, thus taking up ram

I use Windows Blind (sking for the Windows GUI). Takes around 4mb of ram. That's what i use for theme on my pc. If you wanna design skins for windowsblinds, use Skin studio.

You can try ResEdit from the people who make styleXP.  I don't know if it can make themes from scratch, but you can use it to EDIT other people's visual style's.

Create crap in photoshop > Import to Resedit > Make style!

It's harder then it looks.
